These Terms of Use ("Terms") apply to the use of the website www.igbonize.com ("Website") and any related mobile or web applications, linked sites, and services (collectively referred to as the "Platform") operated by Igbonize ("Igbonize," "Us," "Our," or "Ours").

Please take the time to thoroughly review these Terms before making use of the Platform. By using or continuing to use the Platform, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must cease using the Platform immediately.

1. General Terms

Igbonize provides a platform for individuals or entities seeking tutoring services ("Clients") and those offering tutoring services ("Tutors"). All individuals using the Platform, including Clients, Tutors, and content contributors, are referred to as "you," "You," "User," or "Users." By using the Platform for any purpose, you agree to these Terms.

In case of any conflict between these Terms and other Platform content, these Terms will prevail. Failure to enforce any right under these Terms does not constitute a waiver of such rights. Any provision that is found invalid will be replaced by a new provision that fulfills the original business purpose, while the remaining Terms will stay effective.

2. Services

The Platform connects individuals seeking tutoring services with those willing to provide them. Tutors operate as independent contractors, and Clients are responsible for selecting suitable Tutors based on self-reported qualifications. Supervision by a responsible adult is advised during tutoring sessions.

Igbonize operates the Platform from various locations and does not guarantee its availability or suitability in all areas. Services may vary by location, and while Igbonize strives to ensure message delivery via its messaging system, it does not guarantee it.

3. Academic Honesty

Igbonize's services are intended to support learning and should not be used for cheating or fraudulent activities. You agree not to hire Tutors to complete assignments or perform academic work on your behalf. Use of the services must comply with the academic honesty policies of your educational institution.

4. Your Obligations and Conduct

By using the Platform, you agree to: 

(a) Be of legal age or use the Platform under adult supervision. 

(b) Provide accurate, current, and complete registration information. 

(c) Remember to keep your password and account safe and secure.

(d) Update your registration information to keep it accurate. 

(e) Allow Igbonize two months to address any data breaches.

You are responsible for all content you post or transmit on the Platform. You must not upload harmful, obscene, defamatory, or otherwise objectionable content. You agree to use the Platform lawfully and appropriately. Igbonize reserves the right to edit or remove any content and may suspend or terminate users for inappropriate conduct.

By using the Platform, you affirm that you comply with all legal requirements and have the authority to agree to these Terms. If you, or anyone in your home, have a history of violence, abuse, or legal issues, you must inform Igbonize. Igbonize reserves the right to verify your information and take necessary actions, including suspending or terminating your account, if any representations are found false.

Igbonize is not obligated to conduct background checks but will monitor and address any unauthorized or illegal use of the Platform. Users are responsible for conducting their own background checks before engaging with others on the Platform. Igbonize disclaims liability for any issues arising from user interactions.

5. Third-Party Reports

Igbonize may use third-party agencies for background checks and other verifications. While Igbonize may rely on these reports, it does not guarantee their accuracy and is not liable for any errors. Users may challenge inaccurate reports through designated agencies. Igbonize may suspend or terminate users based on these reports.

6. Confidentiality of Igbonize Information

Users may access confidential information from Igbonize, which must be kept strictly confidential. This information remains the property of Igbonize and must not be disclosed unless legally required or permitted by these Terms.

7. Content Submitted to the Platform

Igbonize does not claim ownership of user-submitted content but has the right to use, reproduce, modify, and publish such content. Users must have the proper authorization and intellectual property rights for any content they share on the Platform.

8. Terms of Transacting Business

Users are responsible for all costs associated with the services, including tutoring fees, travel expenses, and booking fees as outlined on the Platform.

10. Advertisements and Promotions

Igbonize may display third-party advertisements and promotions. Any dealings with advertisers are solely between the user and the advertiser. Igbonize is not responsible for any loss or damage resulting from such dealings.

11. Text Message Notifications

Users may receive text notifications for booked lessons. Standard messaging and data rates may apply. Users should contact their mobile carriers for details.

12. Content Provided via Links

You may find links to external resources or platforms on the Platform. You acknowledge that Igbonize is not responsible for the availability of these external platforms or resources and does not endorse any content, advertising, products, or other materials available from them. Igbonize shall not be liable for any actual or alleged harm or loss resulting from the use of or reliance on any content, goods, or services accessible through these external platforms. Furthermore, Igbonize is not responsible for the protection of personal data submitted to such external platforms and shall not be liable for any data breaches that may occur through their use. You agree to release Igbonize from any claims, damages, or actions arising from such usage.

13. Intellectual Property Rights

Igbonize grants you permission to use the Platform for its intended services in accordance with these Terms of Use, provided you do not alter or remove any trademark, copyright, or other notices. Unauthorized uses, such as including Platform content in any database or archive or using automated means to scrape or monitor the Platform, are prohibited unless expressly authorized by Igbonize in writing. Igbonize reserves all rights against violators of this paragraph. Creating links or frames to any part of the Platform without prior written consent from Igbonize is prohibited. You may like, follow, or share links to the Platform through social media as specified on the Platform. All other rights are reserved.

Except as expressly permitted by Igbonize or content providers, you agree not to reproduce, modify, sell, distribute, or create derivative works from the content. You also agree not to decompile or reverse engineer any software provided by Igbonize or alter any ownership notices. Igbonize trademarks, including names, logos, and designs, must not be used without written consent. Any use of Igbonize trademarks benefits Igbonize exclusively, and you must not incorporate them into your own trademarks or similar designations.

Unless specifically granted in writing by Igbonize, these Terms do not confer any license to intellectual property rights. Permission to display, copy, distribute, and download Igbonize-owned content is conditional on retaining the copyright notice and including a permission notice. This permission terminates automatically if you breach these terms, requiring you to destroy any downloaded or printed content immediately.

14. Termination and Suspension

Igbonize reserves the right to suspend or terminate any user at any time, without notice, for any reason. If suspended or terminated, you agree to cease all use of the Platform and refrain from accessing it in any manner.

15. Disclaimer of Warranties

You acknowledge that your use of the Platform is at your own risk. The Platform is provided "as-is", "as available", and "with all faults". Igbonize disclaims all express or implied warranties, including those of merchantability, satisfactory quality, or fitness for a particular purpose. Igbonize does not guarantee the Platform's accuracy, reliability, or quality or its content.

Igbonize makes no warranties that the Platform will be uninterrupted, secure, or error-free or that any errors will be corrected. You assume full responsibility for any damage to your computer system or loss of data from using the Platform.

Igbonize disclaims any liability for using, storing, or disposing of data and materials provided through the Platform. No representation or warranty is made regarding the utility or non-infringement of any information, materials, or technology.

16. Limitation of Liability

You understand that Igbonize does not control the actions of any user and is not liable for their conduct, whether online or offline. Igbonize disclaims any liability for disputes, claims, injuries, or damages related to the Platform. Users interact at their own risk, and Igbonize is not involved in user transactions.

Igbonize is not liable for any direct, indirect, punitive, incidental, consequential, or exemplary damages arising from the use of the Platform, including loss of business, revenue, profits, or data. If these limitations do not apply to you, Igbonize's liability is limited to the amount you paid to Igbonize or $100, whichever is less.

You agree that these Terms' warranty disclaimers and liability limitations are reasonable and fair.

17. Assumption of Risk

You assume all risks associated with using the Platform. When interacting with other users, you agree to take necessary precautions and follow Igbonize's safety recommendations.

18. Indemnification

You agree to indemnify and hold Igbonize and its affiliates harmless from any claims, losses, damages, or expenses arising from your actions or use of the Platform. This includes violations of other users' rights, breaches of these Terms, and disputes with other users. You will cooperate with Igbonize in the defense of such claims. Igbonize may assume exclusive defense of any matter subject to indemnification at its expense.

19. Dispute Resolution

You agree to attempt to resolve any disputes related to these Terms through mutual discussion. If unresolved within 60 days, the dispute will be referred to mediation according to Lagos State Multi-Door Court House rules. This clause survives termination of these Terms. If mediation fails, the dispute will be resolved in court.

20. Injunction

You acknowledge that breaches of the Terms may cause irreparable harm to Igbonize, entitling it to equitable relief, including injunctions, without the need for posting a bond or other security.

21. Notices, Modifications, and Terminations

Igbonize may provide notice to users via email, phone, social media, mail, or by posting notices on the Platform. Igbonize reserves the right to modify, suspend, or terminate services at any time without notice and will not be liable for any loss of information or services. Changes to these Terms will be posted on the Platform.

22. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

23. Entire Agreement

These Terms constitute the complete agreement between you and Igbonize, superseding any prior versions. You may not transfer or assign these Terms or any rights granted here. Additional terms may apply when using other Igbonize products or services.

24. Restrictions on Teacher Conduct

Teachers using the Platform to connect with learners are strictly prohibited from sharing personal contact details with learners or arranging offline classes without the express consent and facilitation of Igbonize. Any violation of this policy, including attempting to bypass the Platform to conduct private lessons, will result in the immediate termination of the teacher’s account and services on the Platform. Igbonize reserves the right to take necessary legal actions against such violations to protect the integrity and safety of its users.
